In Omron México we are looking for our next Senior Legal Counsel We are looking for someone that has a strategic planning, displays a clear understanding of business processes and practices including finance, accounting, information systems and human resources and drive for excellence. As part of its responsibilities are the following: Advise and support OEI MX and OHM / OHI LAM managers and collaborators to ensure that commercial and business strategies are aligned with the legal bases Support Legal & Compliance Director on designing the necessary methods to protect the interests and assets of the company in the face of customers, competitors, the market and the environment in general. Identify the weak points of the organization from all possible points of view that could generate some type of legal consequence. Corporate Housekeeping: manage shareholders meetings, information for BoD annual meeting, PoAs, corporate records management and retention, ultimate beneficiary information. Be the contact point with the Notary Public Responsible to request and gather all the information that is necessary to file the corresponding reports to different Authorities (RNIE, INEGI, etc) Support to HR Department on Labor Matters (labor contracts, REPSE, terminations, union, etc) Contract Administration: planning, follow up meetings, guidelines and training to contract administrator. Regional support to US and Canada to review NDAs, as well as to monitor and report Share Point Site activity. Contracts and Agreements: Review, draft and negotiation of all kind of agreements for customers, vendors and special projects; termination letters/ agreements, amendments, SPVs. Intercompany Agreements: draft and update loans, services and distribution; retention of such agreements, working together with F&A. Support Legal and Compliance Director on the budget review process. Manage all Legal vendors and follow up payments, complete file, etc. Support Legal and Compliance Director on LRC Plan activities and Ethics Month activities. Guide the good management of relations with employees and between employees, making them always attached to the legal framework. Give accurate and timely counsel to executives in a variety of legal topics (labor law, partnerships, international ventures, corporate finance etc.) Apply effective risk management techniques and offer proactive advise on possible legal issues Draft and solidify agreements, contracts and other legal documents to ensure the company's full legal rights Conduct your work with integrity and responsibility Maintain current knowledge of any changes on regulations for Mexico and properly communicate to businesses. Close collaboration with the multi-disciplinary team conform for the project; due diligence implementation; selection of the proper law firm to support in the project; drafts review and preparation of all legal documents needed for the project; support on the closing and post-merger activities. EDUCATION AND EXPERIENCE: Education: Corporate Law degree. Experience: 8 years in legal matters, such as an in-house legal department or law firm. Professional License of Legal practice is mandatory. Technical Abilities: Management of personnel and labor conflict Execution of labor conflicts before conciliation and arbitration board Draft material for BoD meetings, get minutes, follow up on actions Broad knowledge of authorities requirements, registers and certification Draft; analyze all type of business contracts of the company, including material contracts and SPVs Relationship and treatment with collective union Supervise proper compliance with regulation for the company Supervision and preparation in conjunction with the HR department, for compliance with internal regulations.
